These Terms of Service ("Terms") govern access to and use of the website (nquorate.ai) and platform (app.nquorate.ai) provided by nQuorate Technology Solutions Private Limited ("nQuorate", "we", "us"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Eligibility & accounts
The Services are for business use. Access is provided on an invitation or subscription basis. You are responsible for safeguarding your credentials and for all activity under your account, and you agree to notify us promptly of any unauthorised use.
2. The Services
nQuorate provides AI-native life-science market-research simulation and intelligence tools, including synthetic physician (HCP) panels and study simulations.
3. Acceptable use
You agree to use the Services only for lawful purposes. You will not attempt to re-identify, contact, or infer facts about real individuals from synthetic profiles; use the Services to harass or impersonate; reverse engineer, scrape, or disrupt the Services; or use them in violation of applicable healthcare, advertising, or data-protection laws.
4. Your content & data
You retain ownership of the studies, surveys, and data you provide ("Customer Content"). You grant nQuorate a limited license to host, process, and display Customer Content solely to provide and improve the Services.
5. AI-generated & simulated outputs
Outputs are synthetic and probabilistic and are provided for research and decision-support only. They are not the opinions of real physicians and are not medical, clinical, legal, or regulatory advice. Outputs must not be the sole basis for any clinical, regulatory, or promotional decision. You are responsible for independently validating outputs before relying on them.
6. Intellectual property
The Services, underlying software, and all related intellectual property are and remain owned by nQuorate. No rights are granted except as expressly set out in these Terms.
7. Fees
Where applicable, fees are as set out in an order form or subscription agreement and are exclusive of taxes unless stated otherwise.
8. Disclaimers
The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, nQuorate disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of liability
To the maximum extent permitted by law, nQuorate will not be liable for any indirect, incidental, special, or consequential damages, or for loss of profits, data, or goodwill, arising from your use of the Services.
10. Indemnity
You agree to indemnify and hold nQuorate harmless from claims arising out of your misuse of the Services or your breach of these Terms.
11. Term & termination
Either party may terminate in accordance with the applicable order or subscription. We may suspend or terminate access for breach of these Terms. Provisions that by their nature should survive termination will survive.
12. Governing law & jurisdiction
These Terms are governed by the laws of India. The courts at Gurugram, Haryana shall have exclusive jurisdiction over any dispute.
13. Changes to these Terms
We may update these Terms from time to time. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
